These Terms of Service (“Terms”) govern access to and use of the Review Flow platform and services (“Service”) provided by Review Flow, LLC (“Review Flow,” “we,” “our,” or “us”). By subscribing to or using the Service, you (“Customer,” “you,” or “your”) agree to these Terms.
1. Description of Service
Review Flow provides a hosted, cloud-based reputation monitoring and feedback management platform designed to help businesses capture customer feedback and monitor review activity.
The Service may include: QR-based feedback collection pages, customer feedback routing tools, reputation monitoring features, reporting and analytics, email notifications and summaries, and customer support.
Review Flow grants Customers access to the platform as a subscription service. Customers are not purchasing software or any ownership rights in the platform.
2. Eligibility
The Service is intended for use by businesses and business representatives who are at least 18 years of age and authorized to enter into agreements on behalf of their organization.
By using the Service, you represent that you have the authority to bind the business you represent to these Terms.
3. Account Registration
To access the Service, Customers must provide accurate and complete account information, which may include: business name, contact information, billing details, and email address.
Customers are responsible for maintaining the confidentiality of their account credentials and for all activity that occurs under their account.
4. Subscription and Billing
Review Flow operates on a subscription basis.
Subscription Fees:
Customers agree to pay the subscription fee displayed at the time of purchase, currently: $149 per month
Fees are billed in advance on a recurring monthly basis unless otherwise agreed in writing.
Payment Processing:
Payments are processed through third-party payment providers. By subscribing, you authorize Review Flow to charge your payment method for recurring subscription fees.
Failed Payments:
If a payment fails, Review Flow may attempt to reprocess the payment. Continued failure may result in suspension or termination of the account.
5. Cancellation
Customers may cancel their subscription at any time through their billing portal or by contacting support.
Cancellation will take effect at the end of the current billing period. No refunds are provided for partial billing periods.
6. Referral Program
Review Flow may offer referral incentives to Customers.
Referral rewards may be issued when a referred business becomes a paying customer and satisfies program requirements.
Review Flow reserves the right to modify or discontinue referral programs at any time.
Referral credits have no cash value and may only be applied to subscription fees.
7. Acceptable Use
Customers agree not to use the Service for any unlawful or abusive purpose.
Prohibited uses include, but are not limited to: submitting fraudulent or misleading feedback, attempting to manipulate public review platforms, violating the terms of Google, Yelp, or other review platforms, interfering with or disrupting the Service, reverse engineering or attempting to access platform source code.
Review Flow reserves the right to suspend accounts engaged in misuse.
8. Customer Data
Customers retain ownership of the data they submit through the Service, including feedback responses and comments.
By using the Service, Customers grant Review Flow permission to process and store data as necessary to operate the platform.
Review Flow will take reasonable measures to protect customer data, but cannot guarantee absolute security.
9. Third-Party Platforms
The Service may interact with or reference third-party platforms, including review websites.
Review Flow does not control and is not responsible for the policies, availability, or actions of third-party services.
Customers are responsible for complying with the terms of those platforms.
10. Service Availability
Review Flow will make reasonable efforts to maintain reliable access to the Service.
However, the Service is provided on an “as-available” basis, and Review Flow does not guarantee uninterrupted or error-free operation.
Maintenance, updates, or unforeseen technical issues may temporarily affect availability.
11. Intellectual Property
All intellectual property related to the Service, including software, designs, content, and branding, remains the property of Review Flow.
Customers receive a limited, non-exclusive, non-transferable license to access and use the Service during their subscription period.
Customers may not copy, reproduce, distribute, or modify the Service without written permission.
12. Limitation of Liability
To the fullest extent permitted by law, Review Flow shall not be liable for any indirect, incidental, or consequential damages arising from use of the Service.
Review Flow’s total liability for any claim related to the Service shall not exceed the amount paid by the Customer during the previous twelve months.
13. Indemnification
Customers agree to indemnify and hold harmless Review Flow from any claims, damages, or liabilities arising from: misuse of the Service, violation of these Terms , violation of third-party platform rules, or unlawful conduct by the Customer
14. Termination
Review Flow may suspend or terminate accounts if Customers: violate these Terms, engage in fraudulent activity, and fail to pay subscription fees.
Upon termination, access to the Service will be discontinued.
15. Changes to the Service
Review Flow may update, modify, or improve the Service over time.
These changes may include feature adjustments, interface updates, or operational improvements.
16. Changes to These Terms
Review Flow may update these Terms from time to time.
Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
17. Governing Law
These Terms are governed by the laws of the State of Alabama, without regard to conflict-of-law principles.
Any disputes arising under these Terms shall be resolved in the state or federal courts located in Alabama.
