Terms and Conditions

These Referral Program Terms and Conditions ("Referral Terms") govern participation in the Review Flow Referral Program ("Program"). By participating in the Program, you agree to these Referral Terms in addition to Review Flow's standard Terms of Service, which are incorporated herein by reference.

1. Program Overview

The Review Flow Referral Program allows existing active clients ("Referring Client") to earn a service credit equal to one free month of Review Flow service ("Credit") for each new client they refer ("Referred Client") who subscribes to a paid Review Flow plan and remains an active paying client for a minimum of three (3) consecutive months.

2. Eligibility

2.1 Referring Client Eligibility

To participate as a Referring Client, you must:

Be a current, active Review Flow client with an account in good standing at the time the referral is submitted and at the time the Credit is issued;

Have a current paid subscription to Review Flow that is not past due, suspended, or under any active dispute; and

Not be an employee, contractor, agent, or affiliate of Review Flow, LLC.

2.2 Referred Client Eligibility

To qualify as a valid referral, the Referred Client must:

Be a new customer who has not previously held a Review Flow account in any capacity;

Enter the Referring Client's name in the designated referral field on the Review Flow get-started form (reviewflowops.com/get-started) at the time of signup — retroactive referral claims will not be accepted;

Complete the signup process and subscribe to a paid Review Flow plan; and

Remain an active, paying Review Flow client for three (3) consecutive full calendar months from the date of their initial signup.

3. How to Refer

To make a valid referral, the Referring Client should direct prospective businesses to reviewflowops.com and instruct them to enter the Referring Client's name in the "Who referred you?" field on the get-started form. No codes, links, or additional action is required from the Referring Client.

Review Flow is not responsible for referrals that fail to include the Referring Client's name at the time of signup. Referrals cannot be added, modified, or matched after submission.

4. Credit

4.1 Credit Amount

Each valid, qualified referral earns the Referring Client a Credit equal to one (1) free month of their current Review Flow subscription plan, which at the time of this program's launch equals $149.00 USD.

4.2 Credit Timing

Credits are applied to the Referring Client's account within a reasonable time after the Referred Client completes three (3) full months of active paid service. Review Flow will notify the Referring Client by email when a Credit is applied.

4.3 Credit Application

Credits are applied as a deduction against the Referring Client's next billing cycle. Credits reduce the invoice amount for that billing period and do not carry forward as cash. If the Credit exceeds the amount of a single monthly invoice, the excess is not refunded and is not carried to subsequent months unless Review Flow explicitly determines otherwise at its sole discretion.

4.4 No Limit

There is no limit to the number of Credits a single Referring Client may earn, subject to continued compliance with these Referral Terms.

4.5 Non-Transferability

Credits are non-transferable. Credits are attached to the Referring Client's account and may not be transferred to any other account, individual, or entity. Credits have no cash value and may not be redeemed for cash, check, wire transfer, or any other monetary equivalent.

5. Disqualifying Events

A referral will be disqualified and no Credit will be issued or, if issued, will be reversed, if:

The Referred Client cancels, pauses, or is terminated from Review Flow service before completing three (3) consecutive full months of active paid service, for any reason;

The Referring Client's account is cancelled, suspended, or terminated before the Credit is issued;

The referral is found to involve misrepresentation, fraud, or manipulation of the referral process, including but not limited to self-referral, creation of fictitious accounts, or coordinated referral schemes;

The Referred Client fails to enter the Referring Client's name on the get-started form at the time of signup; or

Review Flow determines, in its sole discretion, that the referral violates these Referral Terms or the spirit of the Program.

6. Program Modifications and Termination

Review Flow reserves the right to modify, suspend, or terminate the Referral Program at any time, with or without notice, at its sole discretion. Changes may include, but are not limited to, changes to the Credit amount, the qualification period, eligibility requirements, or the Program's continued operation.

Referrals that were submitted prior to a Program modification will be evaluated under the terms in effect at the time of submission, unless Review Flow determines in its sole discretion that a blanket change is necessary.

7. Taxes

Referring Clients are solely responsible for any taxes that may arise from the receipt of Credits under this Program. Review Flow makes no representations regarding the tax treatment of Credits and recommends consulting a qualified tax professional.

8. No Guarantee

Participation in the Program does not guarantee that any referral will result in a Credit. Credits are contingent on the Referred Client meeting all eligibility requirements and remaining an active paying client for the full qualification period.

9. Fraud and Abuse

Review Flow reserves the right to investigate any suspected fraud or abuse of the Program. In the event Review Flow determines, in its sole discretion, that a Referring Client has engaged in fraudulent, abusive, or bad-faith participation, Review Flow may cancel all pending and earned Credits, suspend or terminate the Referring Client's account, and pursue any other remedies available under law or equity.

10. Relationship to Terms of Service

These Referral Terms are supplemental to and governed by Review Flow's standard Terms of Service (available at reviewflowops.com/admin/tos). In the event of a conflict between these Referral Terms and the Terms of Service, the Terms of Service shall control except where these Referral Terms expressly address a specific Program matter.
